Platform Terms of Use

1. These Terms, Acceptance and Priority
These Terms are between Protein Link Pty Ltd ACN 696 889 433 (Protein Link, we, us or our) and each business that registers for or uses the Platform (you or your).
You accept these Terms when you register an account or first use the Platform, whichever happens first. We will record the date, time and version you accepted, and that record is evidence of your acceptance. You warrant that the individual accepting these Terms is authorised to bind you.
These Terms operate together with the Buyer Terms, the Supplier Agreement, the Marketplace Transaction Terms, the Freight Responsibility Matrix, the Refund and Dispute Policy, the Food Safety and Recall Policy and the Privacy Policy. If there is any inconsistency, the following order of precedence applies:
- the Buyer Terms or the Supplier Agreement, as applicable to you;
- the Marketplace Transaction Terms;
- these Terms; and
- the policies, being the Food Safety and Recall Policy, the Freight Responsibility Matrix, the Refund and Dispute Policy and the Website Disclaimer, in that order, except that the Privacy Policy prevails over every other document on the handling of personal information and the Freight Responsibility Matrix prevails over every other document in relation to freight, risk in transit and cold chain.
2. About Protein Link
The Platform is the Protein Link marketplace, including the website at proteinlink.com.au and the application at app.proteinlink.com.au. It is a business-to-business online marketplace operated by Protein Link that connects wholesale protein suppliers with commercial buyers in Australia.
3. Eligibility
The Platform is available to registered Australian businesses only. By registering, you confirm that you are authorised to act on behalf of the business entity you represent and that your company holds any licences required to buy or sell wholesale food products.
4. Account Registration
You must provide accurate company details, including your Australian Business Number (ABN) where applicable. Accounts are subject to approval by Protein Link. We may refuse or revoke access at our discretion if information provided is inaccurate or if your use violates these Terms. We will act reasonably in exercising that discretion and, unless we are prevented by law or the circumstances make it unsafe to do so, we will tell you why.
5. Platform Role
Protein Link acts as a marketplace facilitator. We are not a party to any sale between buyers and suppliers. Title to products passes directly from the supplier to the buyer. Protein Link does not take possession of, inspect, or warrant the quality of any products listed on the Platform. Risk in products passes at the time set out in the Freight Responsibility Matrix for the delivery arrangement that applies to the order.
6. User Obligations
- Do not list products you are not legally permitted to sell.
- Do not upload misleading product descriptions, prices, or images.
- Respond to order requests and communications in a timely manner.
- Comply with all applicable Australian laws, including food safety regulations.
- Tell us within 24 hours if you become aware of any death, serious injury or serious illness that may have been caused by products acquired or supplied through the Platform, or of any recall or withdrawal affecting those products.
7. Fees and Payments
Protein Link may charge a platform fee on transactions processed through the Platform. Fees are disclosed before order confirmation. Payment processing is handled by Stripe and subject to Stripe’s terms of service. We are not the payment processor and we do not hold your funds. Unless we state otherwise, amounts payable under these Terms are exclusive of GST, and where a supply under these Terms is a taxable supply the recipient must pay an additional amount equal to the GST and the supplier must give a tax invoice.
8. Australian Consumer Law
Nothing in these Terms excludes, restricts or modifies any guarantee, condition, warranty, right or remedy conferred on a person by the Competition and Consumer Act 2010 (Cth), including the Australian Consumer Law, or by any other law, where to do so would be void or would contravene that law. Every other provision of these Terms is read subject to this clause.
9. Limitation of Liability
Subject to the clause above on the Australian Consumer Law, to the maximum extent permitted by Australian law, Protein Link’s liability is limited to the lesser of the Platform Fees paid to us by you in the 12 months before the event giving rise to the liability and $50,000, but in no case less than $10,000. We are not liable for losses arising from product quality, delivery delays, or disputes between buyers and suppliers, except to the extent the loss is caused by our own negligence or breach of these Terms.
10. Termination
Either party may terminate access by providing written notice. Protein Link may suspend accounts immediately if we reasonably believe a breach of these Terms has occurred. Obligations arising from completed transactions survive termination. We will tell you why we have suspended your account and we will lift the suspension if the grounds are resolved. Termination does not affect an order already accepted by a supplier.
11. Governing Law
These Terms are governed by the laws of New South Wales, Australia. Each party submits to the exclusive jurisdiction of the courts of New South Wales and of any court that may hear appeals from them. Before starting proceedings against us you must give us written notice of the dispute and meet with us within 10 business days to try to resolve it. This does not prevent either party seeking urgent interlocutory relief.
12. Changes to These Terms
Protein Link may update these Terms from time to time. We will notify registered users of material changes via email. We will give you at least 30 days’ written notice before a material change takes effect. If a change would disadvantage you in a material way you may terminate without penalty by notice given before it takes effect. A change does not affect an order accepted before it takes effect.
